Situation Overview
We believe that Solventum's spin-off from 3M, which has attracted the attention of activist
investor Trian Fund Management, represents a special situation that is primed with potential
financial engineering catalysts to unlock value along with the company’s long-term margin
improvement plan that is still in its early innings and should lead to further returns of capital. In
our view, Trian's approximately 5% beneficial ownership stake in Solventum along with the
company’s stated margin improvement plan represents significant and underappreciated catalysts
for value realization. Trian has published two open letters (Jan’25 and Apr’26) that systematically
build the case for operational improvement, portfolio simplification, and more aggressive capital
return. The core of Trian's thesis is that Solventum operates as a mini-conglomerate housing
operationally distinct businesses under one corporate umbrella, suppressing both execution and
valuation, which we agree with as well.
Trian has specifically identified the HIS and DS segments as non-core to the MS franchise, arguing
that HIS shares no common technology platform, customer base, sales force, or distribution
channel with the core wound care and surgical businesses, while DS addresses an entirely
different clinical workflow with a separate regulatory environment and competitive set. Trian has
observed that Solventum trades at a discount to each of its subsidiary peer groups and even trades
below its former parent, 3M, despite historically being 3M's best-performing division. Prior to the
spin-off, sell-side analysts had estimated a standalone valuation of approximately $33 billion (per
