Balanced Risk-Reward; Downgrade to Neutral

CITI'S TAKE

We are downgrading the shares of Marsh to Neutral from Buy. The stock now

appears to more reasonably discount the outlook, while we lack a

differentiated view on the company’s current prospects. When we upgraded Neutral ↓ from Buy

the shares to Buy on May 6, we believed concerns or AI risk and pricing had Price (20 Jul 26 16:00) US$182.10

created a systemic return opportunity. Valuation over the past few months

Target price US$200.00has increased (from ~15X N12M EPS to ~17X). While the company delivered

solid results in 2Q (see Figures 1-18), our takeaway is stability in terms of Expected share price return 9.8%

current trends rather than improvement, in aggregate. Expected dividend yield 2.2%

Expected total return 12.0%

Adjusting EPS for 2Q, FX, and Buybacks — We are updating our model to reflect

modest adjustments to our organic growth assumptions across the Risk and Market Cap US$87,735M

Consulting segments for 2Q, slight FX headwinds in future quarters based on

current exchange rates, and higher repurchase assumptions. The net impact of

these changes results in slightly higher 2026-2030 EPS estimates. See Figures 19-

(RIC: MRSH.N, BB: MRSH US)

Valuation risk-reward is balanced — Our target price of $200 implies multiples of

~19X blended 2026/2027 EPS (vs. 18x+current) and ~14X blended 2026/2027

EBITDA (vs. ~13x+ current) and represents a modest discount to our estimate of

intrinsic value. Historical multiples of N12M EPS and EBITDA have averaged ~18X

and ~12X over the past 20 years.
