contingent value right (CVR) of up to $750m
in cash through 2030 linked to market prices for Alumina and Aluminum. From a capital
structure perspective, AA highlighted a $3.1bn bridge commitment, expected to be replaced
by a mix of cash from the balance sheet and permanent debt financing prior to closing, which
is anticipated to be in the first half of 2027. AA remains committed to maintaining a strong
balance sheet throughout this process, including targeting investment grade leverage metrics
post closing. We will be listening for any further comments on the rationale for the
acquisition, future M&A and growth plans as well as the long-term view on the balance sheet.
Based on our math, we would expect at least ~$2bn of new bonds to be issued to refinance
the bridge in addition to cash on the balance sheet.
5. Overall commentary on cost inflation and its impact on margins and whether it drives
M&A. Metal commodity prices remain firm but costs are rising due to higher freight and
higher fuel costs. We have highlighted the strength of balance sheets across HY Metals &
Mining and we see this across the sector into IG as well. As costs rise for smaller miners amid
geopolitical tensions and higher oil prices, we wonder whether some larger M&A becomes
more viable as larger acquirers are able to extract more valuable synergies acquiring smaller
targets more burdened by cost inflation. We have seen examples of consolidation in the gold
space, for example with Coeur acquiring New Gold and Eldorado Gold buying Foran Mining.
Copper M&A in High Yield has been more subdued, but Aluminum is picking up with Alcoa.
We still haven’t seen the majors in IG engage in meaningful, transformative M&A, though
