Investment Companies Daily: RCP Tender Offer, HRI/VEIL Tender Results, PEY NAV, BASC Strategic Review, AIRE Response to Glenstone offer, GCP sale of AD asset
markets and other PE peers, is a large
part in determining this rating. Until there is some improvement and prospect of improved
returns, we think PEY is likely to remain trading at a wider discount than its peers. We
are Underweight.
• Brown Advisory US Smaller Companies (BASC, Neutral) - Strategic Review -
BASC has announced it is initiating a strategic review of the future of the company. BASC
has a three-yearly continuation vote, with the next vote due at this year’s AGM and the
board says it has been actively engaging with shareholders to understand their views.
BASC says that feedback from shareholders has been broadly supportive of BASC’s
investment objective and policy, as well as the processes and resources of the portfolio
manager and that there is also significant support for BASC's existing discount control
mechanisms, including the three-yearly continuation vote, the five-year performance-
related tender offer scheduled for 2028, and the use of share buybacks. However, a
number of shareholders have indicated a preference for a liquidity opportunity in the
shorter term. Against this backdrop, the BASC board is considering a range of strategic
options, including the provision of a significant cash exit opportunity for shareholders.
In evaluating these options, the BASC board will also have regard to the scale of BASC
following any such transaction. The BASC board says it will provide a further update in
due course, taking into account the timing of the continuation vote at this year's AGM,
due to be held in November 2026.
