Last week, shareholders of Genco Shipping & Trading (GNK) overwhelmingly

backed incumbent management, rejecting Diana Shipping’s (DSX) two board

nominees and reaffirming confidence in GNK’s current strategy. Despite the

defeat, Diana management remains steadfast in its commitment to acquire

Genco.

Genco Shipping held its Annual Meeting on June 18th wherein all six incumbent

directors were re-elected, receiving ~90% of votes (ex-Diana shares). The vote

was likely influenced by recommendations of several proxy advisors including

ISS, Glass-Lewis, and Egan-Jones. As such, we believe this represents a high

conviction of GNK’s capital allocation (delivering + formulaic dividend policy) and

operating (largely spot-exposed) strategy. Additionally, the shareholder rights

plan, or “poison pill” remains intact. We believe the shareholder rights plan in

place has played a significant role in Diana having to incrementally increase its

offer price, which started last November.

As a reminder, Diana launched its first bid for GNK shares in November 2025 at

$20.60/sh. This was followed by a bid in March at $23.50/sh and a third bid in

May for $24.80/sh. The latest offer from June is structured slightly differently in

that it carries a cash + share component of $24.80/sh in cash + one share of DSX

(implied value of $27.34 at the time).
