3) The Board felt newly appointed CEO David Caspers has the right operating

experience to lead Ardent in a dynamic market backdrop. He replaces former CEO

Marty Bonick to lead the next phase of Ardent's growth. After a decade of

meaningful expansion in coverage and government funded programs for health

systems, the operating backdrop is expected to get more difficult (OBBBA,

elimination of enhanced HIX subsidies). The Board felt that Mr. Caspers' operational

experience made him a better choice to lead Ardent during this period of change. He

has held senior roles at large, complex organizations such as Walmart Health, Target

and Banner Health and importantly is the driving force behind the IMPACT program.

4) Increasing the number of outpatient touch points remains an important part

of Ardent's strategy. The company currently has around high single digits

outpatient per hospital and would like to expand this to low to mid double digits
