announcement, Iyogin HD plans to conclude a share exchange agreement with Ehime

Bank in December, followed by an extraordinary general meeting of Ehime Bank

shareholders in February 2027, with the share exchange scheduled to take effect on

April 1, 2027. The integration is thus scheduled to take effect within one year of the

announcement.

According to the disclosure materials (Japanese only), the two entities’ combined

lending share in Ehime Prefecture is 51.0% and their deposit share is 52.6% (as of the

end of March 2025), and both banks possess strengths in ship finance (as of

December 2025, Iyo Bank ranks 3rd domestically and 10th globally in ship finance

balance, while Ehime Bank ranks 12th domestically and 37th globally). Furthermore,

according to various media reports, their combined share of main bank corporate

clients would reach 76% (based on 2025 data).
