Acquisition would expand EFX’s exposure to Mexico’s growing credit information

market. The transaction would increase EFX’s presence in Mexico, the second-largest

economy in Latin America, where management estimates the credit market could grow

at a ~15% CAGR through 2029. According to the company, more than 25% of Mexican

consumers lack access to formal financial products and nearly 44% do not have a bank

account, supporting a long-term opportunity for increased credit penetration. Círculo

de Crédito is the only Mexican provider operating both consumer and commercial credit

bureaus and holds an estimated 33% market share per EFX. The company’s data assets

include more than 2bn tradelines covering roughly 80mn validated identities, with

particular strength in alternative data such as telecommunications, utility and

gig-economy records. EFX plans to leverage its analytics, AI and cloud-based products

across the platform following the acquisition.

Management expects earnings accretion and continued double-digit growth. EFX

expects the acquisition to be accretive to adjusted EPS in the first full year of ownership.

Círculo de Crédito has grown revenue at a 23% CAGR over the past three years and

management expects the business to continue delivering high double-digit revenue

growth in 2026 while maintaining mid-40% EBITDA margins. The company will become

part of EFX’s International segment and continue to be led by its current management

team. The acquisition also aligns with EFX’s broader capital deployment strategy and

would represent the company’s 17th bolt-on acquisition completed or announced over

the past six years.
