Exail: Safran talks collapse - M&A option value survives, ICG overhang returns
or
from international entrants already strong in submarine warfare (e.g. U.S.-based Anduril). The company’s €3bn pipeline with 10
major navies could be vulnerable to contract deferrals, scope reductions or cancellations. Exail’s large multi-year naval contracts
expose it to risks of delivery delays and cost overruns, which could pressure revenue visibility, margins and free cash flow. The
planned exit of minority shareholder and lender ICG Group remains a financial overhang and is subject to a dispute (ICG’s ask at
€1.1bn sits ~€380m above Exail’s own independent expert Sorgem’s valuation).Exail shares were recently supported by Safran’s
potential bid at €128.50/share. Following the collapse of talks between Safran and the controlling shareholder (the Gorgé family),
that M&A support has faded, and the shares may face short-term pressure as investors refocus on the ICG overhang and the
standalone investment case.
