Regulators are establishing guardrails to protect investor interests while

encouraging capital raising. The consultation follows the relaxation of certain

refinancing rules earlier this year (see here). Notably, we believe aligning the pricing

date with the issuance date (rather than alternatives such as the board approval

date, which could precede issuance by 6–12 months) prevents placement

participants from locking in lower prices, which could otherwise disadvantage

minority shareholders.
