In sum? Clearly BLFS would fit strategically with RGEN. Financially, however, this is a longer putt and would almost
certainly require a creative financing structure with heavy stock-based consideration.
What happened? On Friday June 26 after the close of trading Bloomberg published an article speculating about strategic
interest in a potential acquisition of BioLife Solutions (ticker BLFS; not covered). Repligen was the only suitor specifically
named. In the grand scheme of the history of press speculation about takeouts, the language used in this article reads
vague and squishy. So…caveat & caution there – it’s a rumor. Nevertheless…the headline is out there and triggered this
think out loud note on fit & financials.
One human capital tie between BLFS and RGEN lends credibility to the rumor. Former RGEN CEO Tony Hunt sits on
the BLFS board of directors, a position held since January 2025. In March 2026 Hunt retired from his role as Executive
Chairman of RGEN. Hunt is still engaged as an advisor to RGEN through March 2027.
Strategic appeal of BLFS for RGEN? Definitely fits. BLFS sells biopreservation media and processing tools for cell
therapy products. In 2025 BLFS revenue was approximately $100M, 98% of which was consumables, and generated
~65% gross margin. About 80%-85% of the BLFS revenue is generated from a product called CryoStor which is serum-
free, protein-free cryopreservation media that protects cells and tissues during freezing and thawing and optimizes post-
thaw recovery / functionality.
