more than one unsolicited offer in recent months to acquire OC in a transaction
valued well over $10B, using a mix of cash and stock at a significant premium to
OC's recent trading; OC has not substantially engaged, and CSL is contemplating
next moves. OC entered Monday with an ~$11B market cap (CSL ~$15B); on the
report shares closed +15.26% to $154.69 (best day since 2009) while CSL fell -2.55%
to ~$352. The strategic logic combines CSL's commercial roofing/weatherproofing
focus with OC's residential roofing/insulation platform (anchored by its iconic
pink fiberglass brand). OC has actively reshaped the portfolio, completing the ~
