Maintain Outperform rating. CTVA's Friday 6/12 8-k appears to be part of its ongoing footprint rationalization program, and
is somewhat expected, especially given relatively flat after-market trading; as such we expect a relatively neutral market
reaction at market open on Monday. The announcement did provide additional specifics around assets and cash charges/asset
impairments, which are now slightly higher (~$100-115M aggregate) than its previous estimates, although this appears to include
only about half (~$400-443M) cash items, vs. the total $750M-$815M aggregate amount. As such, we think this is unlikely to have
an impact on CTVA's outlook and importantly, when we spoke with CTVA early last week, it maintained confidence in its Q2
and full-year 2026–2027 outlook and guidance. Overall, we remain positive on CTVA ahead of its Seed spin (SpinCo to be named
"Vylor"), on which we expect additional details from upcoming Form 10 given its expected spin timeframe in 2H26. Additionally,
we continue to think CTVA's FY26 guide to $4.0-$4.2B EBITDA is somewhat conservative, given: 1) slowing generics imports in
Latam driving hsd% CP volumes in 2H, 2) 1H26 ~lsd% ahead of RBC/Consensus (nearly 90% of the FY26 guide), and 3) manageable
Iran/energy (~$40M in Q1) and tariff impacts (~$80M in FY26, included in the guide) given its local-for-local production.
