News Reports Settlement Talks Between Founder Chip Wilson and Board Collapse; Annual
Meeting Set for June 25 With Contested Director Election. Settlement negotiations between LULU
founder Chip Wilson (~8.97% stake, largest individual shareholder) and the Board broke down over
the weekend of May 17-18, with both sides now preparing for a contested vote at the June 25
annual meeting. Per emails viewed by the WSJ, the two sides had been very close to agreement
as recently as May 14, when new Board member Chip Bergh proposed eight key settlement terms:
LULU would appoint two Wilson nominees post-annual meeting, a third mutually agreed director
by October, and create an advisory product council; Wilson would agree to a two-year standstill,
nondisparagement, and vote with the Board (WSJ; CNBC). Wilson responded May 14 agreeing in
principle but marking up terms, including: control over the candidate pool for the third director,
replacement rights for his nominees, modifications to the standstill duration, and full expense
reimbursement for his proxy campaign. LULU characterized Wilson's response as a significant
departure with numerous new demands. Executive Chair Marti Morfitt emailed Wilson Sunday
night that the Board had lost confidence he would abide by his commitments, and LULU filed its
definitive proxy and shareholder letter Monday, publicly accusing Wilson of negotiating in bad faith
and urging shareholders to reject his slate. (News Article)
