Supreme Court ruling as thesis-changing to normalized earnings power. While the
market is appropriately discounting incrementally higher legal/insurance costs and 5 Page Document
compliance risk, we believe the decision could ultimately accelerate consolidation
toward scaled brokers with more sophisticated carrier oversight infrastructure.
Reasons for this report
The Supreme Court of the United States ruled unanimously that state-law negligent ✓ Quick Reaction to Newsflow/Volatility
selection claims against freight brokers are not automatically preempted under the
✓ Sector Update FAAAA, representing a potentially meaningful legal and operational development for the
broker industry. The ruling stems from litigation involving CHRW, and effectively allows
certain negligence claims tied to carrier selection to proceed under state law.
While we expect the initial market reaction to focus on incrementally higher litigation and
insurance risk for the broker model, we believe the longer-term implications may prove
more nuanced. In our view, the ruling could ultimately reinforce competitive advantages
for scaled brokers with sophisticated compliance infrastructure, more in-depth carrier
