Pauses Strategic Review, Grants Due Diligence Access. On May 13, 2026, ITRK announced that
after rejecting three prior EQT proposals (£51.50, £54.00, and £58.00/share), its Board "would
be minded" to recommend EQT's fourth and final £60/share all-cash offer (~£9.2B equity value,
~£10.6B EV including debt, ~$12.5B), subject to satisfactory completion of confirmatory due
diligence and agreement of definitive documentation. Including ITRK's FY'25 final dividend of
107.7p/share, total shareholder value is £61.08/share. The cash consideration represents a +59%
premium to ITRK's closing price on April 9 (the day before EQT's initial approach). ITRK has paused its
previously announced strategic review (disclosed April 14, 2026), which contemplated separating
into two businesses (Intertek Energy & Infrastructure and Intertek Testing & Assurance) via de-
