Terms of Service

These terms govern your use of ReportGem's website, research services, APIs, OAuth authorization service, MCP server, and the ReportGem Research plugin.

Effective: August 31, 2026  ·  Last updated: October 16, 2026

1. Agreement and eligibility

These Terms of Service ("Terms") are an agreement between you and NINGPING MA, the individual who operates the ReportGem service ("ReportGem", "we", "us", or "our"). By accessing or using a service that links to these Terms, you agree to them and to the Privacy Policy.

You must be at least 18 and legally able to enter into this agreement. If you use ReportGem for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

2. Service and research use

ReportGem provides tools for discovering and reviewing research reports, regulatory filings, meeting notes, papers, charts, tables, and bounded evidence passages. Features, sources, coverage, response formats, and availability may change.

No investment advice. ReportGem provides research-discovery and information tools. It does not provide investment, legal, tax, accounting, or other professional advice; does not recommend or execute trades; and does not guarantee outcomes. You are responsible for independently verifying information and making your own decisions.

Automated, extracted, summarized, translated, or AI-assisted outputs may be incomplete, delayed, or inaccurate. Source metadata and links are provided to support verification, but availability of an underlying source is not guaranteed.

3. Accounts, credentials, and authorization

You must provide accurate information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by our breach of these Terms or applicable law.

When you authorize ChatGPT, Codex, or another compatible client through OAuth, you permit that client to request ReportGem tools within the scopes you approve. You may revoke access. The third-party client is independently responsible for its own service and data handling.

Do not publish, share, or place passwords, access tokens, refresh tokens, review credentials, or other secrets in prompts, repositories, logs, or public materials.

5. Acceptable use

You may not:

  • use the service unlawfully, deceptively, to infringe rights, or to create or distribute harmful content;
  • circumvent access controls, entitlements, quotas, rate limits, cost controls, or geographic or source restrictions;
  • share, sell, rent, or misuse accounts, credentials, tokens, or review access;
  • scrape, crawl, bulk-download, mirror, republish, resell, or build a substitute database from ReportGem except where we expressly permit it in writing;
  • reverse engineer, probe, disrupt, overload, introduce malware into, or attempt unauthorized access to the service or related systems;
  • remove notices, source attribution, watermarks, technical controls, or rights-management information; or
  • misrepresent ReportGem outputs as verified facts, regulated advice, or ReportGem's endorsement.

Reasonable use of compatible clients and automation is permitted only through approved interfaces, within granted scopes and limits, and in compliance with these Terms.

6. Content and intellectual property

ReportGem, its software, branding, indexes, interfaces, compilations, and service design are owned by ReportGem or its licensors and protected by law. Source documents and third-party content remain subject to their owners' rights and license terms.

Subject to these Terms and your entitlement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service and view returned material for your internal research. No ownership is transferred. Any broader reproduction, redistribution, publication, commercial exploitation, model training, or creation of derivative databases requires the relevant rights holder's permission and, where applicable, our written authorization.

If you submit feedback, you permit us to use it without restriction or compensation. You retain rights in content you lawfully submit, while granting us the rights reasonably needed to process it and provide the requested service.

7. Availability, disclaimers, and limitation of liability

We work to provide a reliable service, but maintenance, security events, upstream source changes, network failures, legal requirements, and other circumstances may interrupt or alter it. We may add, change, suspend, or discontinue features.

To the maximum extent permitted by law, the service is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability.

To the maximum extent permitted by law, ReportGem and its affiliates, officers, employees, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or investment losses arising from use of or inability to use the service. ReportGem's aggregate liability arising from the service will not exceed the amount you paid ReportGem for the affected service during the six months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights that cannot lawfully be waived.

8. Suspension, termination, changes, and governing law

You may stop using the service at any time. We may suspend or terminate access where reasonably necessary for security, legal compliance, nonpayment, material breach, abuse, or protection of ReportGem, users, sources, or third parties. Where practical and lawful, we will provide notice and an opportunity to address the issue.

Provisions that by nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, and dispute terms—will survive.

We may update these Terms as the service or law changes. We will post the revised version and update the date above, and provide additional notice where required. Continuing to use the service after revised Terms take effect constitutes acceptance to the extent permitted by law.

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes in good faith. Subject to any non-waivable consumer rights, the courts of Hong Kong have exclusive jurisdiction.
