Raj Talluri resigned as CEO and director effective August 13. The board appointed

CFO Ryan Benton as interim CEO and named chairman/largest shareholder T.J.

Rodgers executive chairman, while reiterating 3Q guidance and the broader

strategy. Kulicke & Soffa (KLIC, not covered), a semiconductor assembly

company, subsequently confirmed in a press release (link) that Talluri will join as

President and CEO effective September 1. We note KLIC is aligned with Talluri’s

prior semiconductor background and is a larger market-cap company than Enovix

(ENVX), which may help explain Talluri’s pivot. ENVX has initiated a CEO

search to evaluate both external and internal candidates with no firm deadline

indicated. Shares plummeted ~18% on the resignation news; however, a follow-up

webcast with Rodgers emphasized the expertise and depth of the remaining

management and operating team, a point we would acknowledge based on our

interactions with the team. That said, we continue to flag key-person risk, also

identified during the after market webcast, particularly around customer

relationships with China-based smartphone OEMs. ENVX has indicated it will

attempt to mitigate this by traveling to China with Talluri and several members of

the management team in the coming days to reaffirm customer commitments

despite his departure. Additionally, as outlined in our initial downgrade (link), we

continue to see risk that Asia-based incumbents, leveraging scale, vertically

integrated supply chains, deep OEM relationships, and aggressive R&D, could

close the performance gap enabled by ENVX’s 100% active silicon anode

architecture and patented cell structure. While 2Q results showed continued

strength in defense/industrial shipments and initial eyewear shipments (link), we

still see challenges ahead and view other opportunities in our coverage universe as

more attractive.
