rival agreement or superior proposal was publicly announced by Caesars when the
go-shop period ended.
The deal remains subject to CZR shareholder approval, regulatory approvals and
other customary closing conditions. CZR’s Board of Directors approved the
transaction and is recommending that shareholders vote in favor of the merger
agreement, stating that the immediate cash premium is compelling for
shareholders. Caesars shareholder approval remains outstanding.
The most visible regulatory progress has occurred in Nevada, although the actions
taken to date were personnel-licensing approvals rather than approval of the
acquisition itself. On July 23, the Nevada Gaming Commission unanimously
approved licenses for Fertitta Entertainment Chief Financial Officer Richard Liem
and General Counsel Steven Scheinthal to serve as directors of Fertitta
Entertainment.
