We view the deal as a welcomed second step in Adyen’s more active capital allocation posture and a strategically sensible
extension of the Talon.One acquisition: Talon.One moves Adyen further upstream into promotions / loyalty / pre-payment
decisioning, while Orb moves Adyen into usage-based monetization and billing for AI-native and high-growth software
companies. We view both positively as it expands Adyen’s capabilities in an emerging and likely eventual high-growth
areas, while also preserving sufficient “dry powder” to diversify shareholder returns via buybacks and other M&A.
• The deals look more like roadmap acceleration than a crutch for the 20%+ algorithm: It is fair to ask whether two
acquisitions in quick succession suggest Adyen needed incremental capability to sustain its medium-term 20%+ net
revenue growth framework. We do not read it that way. Management explicitly left standalone FY26 guidance unchanged
and reiterated that its previously announced long-term financial objectives remain unchanged and independent of
