Terms: $13.60 per share in cash

Deal value:~$2.15B enterprise value

Premium: 30% premium to DoubleVerify’s 60-trading day VWAP as of August 5, 2026.

Voting Agreement: with Funds affiliated with Providence Equity Partners (owning ~11.8%)

Closing: Expected to close by Q1 2027 (Will use 3/30/27 for now)

Financing: Financed through a combination of committed debt financing (Barclays, BofA Securities, Citi), incremental equity

financing, and cash on hand at Nielsen.

Approvals: Approved by the Boards of Directors of both companies; closing subject to DoubleVerify shareholder approval,

required regulatory approvals

Strategic Rationale: Create a leading independent media intelligence platform by combining Nielsen’s audience

measurement/intelligence with DoubleVerify’s independent media quality verification; deliver end-to-end, verified,

independent data across the advertising lifecycle; expand Nielsen further into high-growth digital channels; preserve

independent verification standards; and support a trusted shift to AI-driven advertising workflows.

Initial thoughts: The Q1 closing suggests some caution on the regulatory front. Waiting to see the merger agreement but will

use 3/30/27 for now. Nielson is currently in active litigation with Cumulus Media on bundling products. Cumulus claims that

Nielsen requires customers to buy local radio ratings in order to access its national radio ratings product. Similar concerns

may be looked at by regulators in this deal given Nielson’s dominant position in audience measurement . The stock is
