• OCI NA: Court appointed directors consent to EGM. The OCI Board recommends the voluntary cash offer by NNS

whereby 1 OCI NA = €4.10. The court-appointed independent non-executive directors have decided to consent to the

convocation of an extraordinary general meeting of the Company to approve the OCI-Orascom transaction.OCI will hold an

EGM prior to the closing of the acceptance period of the Offer. The Board continues to recommend the Orascom
