• R1000 Middleby Corp (MIDD; R1, R25, MC, RS, V, DY) will spin off its shares of Midera Food Processing. In the transaction, every one share of Middleby Corp stock will receive one share of Midera Food Processing. Midera Food

Processing is projected to be added to the FTSE Russell Indexes, as it satisfies FTSE Russell’s inclusion criteria. The new company will be added to Middleby Corp’s respective indexes (Russell 1000, Russell 2500, Russell

Midcap and Russell Small Cap Completeness). Based on Middleby Corp’s current probabilities, Midera Food Processing’s style probabilities will be 0% growth and 100% value and the stability probabilities will be 0% defensive

and 100% dynamic. The share total for the new company is projected to be 43,219,000 shares. Midera Food Processing will be distributed to shareholders July 6, 2026 (after the close). The price for Middleby Corp will be

adjusted to reflect the spin-off.
