end markets. The value case for ABB rests on unquantified revenue synergies; EPS accretion arrives only in year 2 despite an all-
cash structure, reflecting financing costs and acquisition amortisation, and ROCE dilution near term is implicit given the goodwill
created against ABB's raised >20% ROCE target.
We see the ABB acquisition of Rotork as very coherent, and an attractive complementary deal: ABB adds the market-leading final
control element (actuation) franchise to an Automation business that spans control systems and measurement, although
stopped short of the valve. We see the strategic logic in electrification of actuation, cross-selling through ABB's channels in
energy, water, marine and data centres, and Rotork's superior financial quality (24.6% adjusted operating margin, 38.4% ROCE,
net cash).
Timing is is favourable and addresses the capital allocation question neatly: ABB receives proceeds from the USD5.4bn Robotics
sale to SoftBank later in 2026, and prior to the deal Rotork's equity had de-rated to roughly 12-13x EV/adjusted EBIT.
Rotork's 45% oil and gas revenue weighting is a strong fit for ABB's footprint but expands expasoure to the sector. There may be
risk on channel dis-synergies, which needs to be questioned in the call. We would expect multi-jurisdiction clearance to be
required, although there are no obvious market concentration risks. Substantive antitrust risk is low because horizontal overlap is
minimal; the more relevant regulatory frictions are UK national security review and Chinese merger control timing, in our view.
