Rivian recently announced a 75M share equity offering at $15.50/share (plus an option for underwriters to purchase up to 11.25M
shares). Proceeds are earmarked to fund equity co-investment requirements under Rivian's $4.5B DOE loan, which is financing
the construction of its new manufacturing facility in Georgia. On July 2nd, the company announced Q2/26 deliveries of 12,194
(well above consensus at 10,907), and shares proceeded to rise ~17% up until the equity offering announcement. Alongside the
offering, Rivian pre-released preliminary Q2/26 results, guiding to revenues of $1.55-$1.65B (vs consensus at $1.45B), up ~23% y/

its unrestricted cash balance to focus on the R2 ramp and autonomy development. The DOE wants certainty of funding for the
Georgia plant, so the proceeds will sit as restricted cash in escrow earmarked specifically for that project, including any cost
overruns.
