Governance
Board
At XTB, the roles of CEO and Chairman of the Supervisory Board are separate. Omar Arnaout
serves as CEO (President of the Management Board), while Prof. Aleksander Chłopecki serves as
Chairman of the Supervisory Board. Additionally, four out of five Supervisory Board members are
classified as independent, implying 80% independent board representation.
There are relatively strong governance checks and balances in place, with a clear separation
between executive management and board oversight.
There is no evidence that XTB has employee-elected representatives at the Supervisory Board or
Management Board levels. The board consists of shareholder-appointed and independent
members, but no formal employee representation appears to exist within the company’s
governance structure.
XTB’s Supervisory Board demonstrates a high level of independence. Out of five Supervisory
