Focus item: Metrics update shines a light on conflicts & valuations (PNI) Diversified Financial
Following its March qtr portfolio report (link), Metrics has released an 'investor update' for its listed
funds. This appears a pre-emptive response to rising ASIC scrutiny in the private credit sector rather
than voluntary enhancement of disclosure. Nevertheless, the breadth and specificity of identified
conflicts of interest (no less than #11 listed page 2), alongside the introduction of an independent
valuation process suggest the sector is moving towards a more institutional governance framework. An
independent adviser will be appointed by each wholesale fund to conduct sample-based limited scope
valuation reviews (including Equity & Equity-like investments) on a rotating basis with the intention of
covering the majority of assets over a 12m period. The listed market continues to discount the
credibility of reported valuations (MOT trading ~20% discount to NAV). In that context, the use of an
independent adviser may incrementally improve confidence, but also raises the risk that any valuation
adjustments are staggered and lagged rather than crystallised upfront. This creates a scenario where, if
there are discrepancies between carrying values and independently tested marks, the fund could
experience gradual negative NAV drift over the next 12m, reinforcing rather than closing the discount if
confidence remains weak. Separately, press (here) suggest Metrics has taken enforcement action on a
loan involving ten properties.
