sharpen headline economics while offsetting concessions through minimum spend

commitments, required product adoption (e.g., various forms of VAS and/or embedded

financial services), or other structures that create a degree of synthetic economic lock-in

over time. A notable trend is that nearly all vendors (PSPs) now bring a broader

embedded FinTech stack into RFP discussions, including capital, BNPL, ACH, banking,

and other VAS, reflecting a shift away from capturing value purely through merchant

acquiring spreads. Additionally, our guest is seeing RFP processes that begin as full

replacements, but ultimately result in multi-processor strategies, where platforms

optimize different segments of their portfolio across providers based on merchant mix,

vertical requirements, and support needs.

Structural break in platform economics: Utopaya emphasized a structural

breakpoint in payments economics as platforms scale, with take rates earned by the

SaaS platform becoming increasingly meaningful as volume grows. At lower volumes,

flat-rate revenue share or referral models tend to be sufficient due to ease of

implementation and speed to market, but as SaaS platforms grow into the hundreds of

millions of dollars in volume, monetization becomes more important and these ISVs

increasingly seek greater ownership of economics. Beyond ~$200mm and up to ~$1b in

volume, platforms typically experience an economic inflection point where migrating

toward buy-rate or interchange-plus models becomes economically justified despite

operational friction. At the highest end of the market, platforms often adopt split-

processing architectures to optimize across different merchant segments, as failure to
