policy and platform changes – such as privacy and tracking restrictions (e.g., past IDFA

changes), shifts in attribution standards, app store policies, or fees – can materially

impact marketing efficiency, user targeting, measurement and overall growth. These

changes can occur with limited notice, and their effects can be nonlinear, particularly

for businesses reliant on mobile distribution and paid acquisition.

●Leverage and refinancing risk from senior secured debt. Skillz has senior secured
