This morning, AvalonBay Communities (AVB) and Equity Residential (EQR) Samuel Ohiomah
announced a definitive agreement to combine in an all-stock merger of equals. Research Associate

leveraging differentiated scale, capabilities, and balance sheet strength to
enhance the resident experience, redefine rental housing leadership, and deliver
structurally superior earnings growth and value creation for shareholders. The
new combined entity will have a pro forma equity market capitalization of ~$52B
and a total enterprise value of ~$69B, with over 180,000 rental apartments. The
company will be 2.5x larger than the enterprise value of the nearest public
Residential REIT, and the combined entity will own 75% more rental units than
the closest publicly traded Apartment REIT peer.
We expect investor reaction to the news to be somewhat mixed to negative,
despite management’s well laid out strategic rationale for the transaction. Simply
put, both companies are already some of the largest players in the overall rental
market - both already have cost of capital advantage versus their peers (both A-
rated, AVB stock trades at 16.4x P/FFO and EQR stock trades at 16.1x P/FFO –
relative to the Apartment REIT average of 16.1x), both also have solid liquidity to
pursue their own individual growth initiatives and both already have industry
leading NOI margins close to 70%. It is not entirely clear how increased scale will
