higher acuity SNFs, it has not stayed away from higher acuity SHOP deals in
assisted living and memory care. OHI spends a lot of time making sure it is buying
in the right micromarket. Additionally, Omega has invested in its RIDEA capabilities
by bring in key hires in the SHOP industry with strong rolodexes. On UK care
homes, the fragmented nature of the market continues to provide the most
consistent source of deal flow. This should eventually lead to the company's first
UK RIDEA transaction in the near future. On SNFs, it indicated there isn't a lot of
SNF portfolios coming to market, which likely reflects many SNF owners
and operators having already exited in the past ten years. While looking to partake
in SNF deals going forward, volumes in 2026 and beyond may not look the same
as in years past. We think this is evidenced by its pipeline.
Funding path for transactions in place. Given the expected transaction
volume, there is strong visibility around OHI's funding options. Notably, OHI should
be able to reinvest the future proceeds from the 2Q'26 Communicare sales of
$480 mm, as well as loan & mortgage repayments of $318 mm ($160 mm of
Genesis at 14%). Additionally, OHI may use equity for incremental purchases.
Though, it remains hesitant to issue equity in size given some of its recent
initiatives that it expects to help its share price. OHI would likely issue equity to
repay any expiring debt. It would consider long-term HUD debt if pricing gets
more attractive. Its balance sheet is in a good place. Its net-debt-to-EBITDA is
currently 3.5x, and the closing of the Communicare sales in 2Q'26 would take that
