VALUATION METHODOLOGY

Our valuation methodology is based on a combination of cash flow and earning estimate derived valuation methodologies. We used

a discount rate which is a function of cost of equity and cost of debt. Terminal growth rate estimates were used to derive future

cash flows.

Regulatory, commercial, and legal, including potential delays to pipeline development, generic entry to established products,

changes in drug pricing, changes in tax law, loss of patent exclusivity through unfavourable litigation outcomes, and/or poor M&A

execution/integration.
