8. Risks

Exposure to U.S. and Foreign Government Defense Budgets: A significant portion of Arxis’s•

revenue is generated through customers that supply the U.S. government (DoW) and foreign

governments. As a result, changes in defense budgets, spending priorities, procurement policies,

or the timing of appropriations can materially affect order flow. Continuing resolutions, shutdown

risk, debt ceiling constraints, or shifts in defense priorities away from supported programs could

delay contract awards, defer funding releases, increase execution risk, and weaken demand

visibility.

Commercial Aerospace Demand Risk: Arxis’s commercial business is directly exposed to airline•

traffic, fleet utilization, and OEM/aftermarket spending patterns. Weakness in the commercial

aerospace market, driven by macroeconomic pressures, geopolitical events, higher fuel prices,

trade restrictions, or public health crises—can lead airlines to defer aircraft purchases, reduce

maintenance activity, or draw down existing inventories. Prolonged downturns could pressure

pricing, increase inventory risk, and negatively affect margins and cash flow.

Lack of Long-Term Contracts and Inventory Forecasting Risk: Arxis generally does not•

operate under long-term, guaranteed-volume customer contracts and must forecast demand to

manage inventory and capacity. Forecasting errors could result in excess inventory, write-downs,

or margin compression if demand underperforms expectations. Conversely, underestimating

demand could constrain deliveries, strain supplier relationships, and damage customer trust.

Volatile demand combined with limited supplier flexibility may heighten earnings variability.
