At 3:30pm (JST) on 12 May, NSK and NTN announced that they have reached an
agreement on a business integration through the establishment of a holding company
via a joint share transfer. We consider this a surprise, as we previously viewed industry
realignment in the bearing sector as unlikely due to differences in corporate culture and
antitrust laws. Going forward, after obtaining such clearances as antitrust approval, a
shareholder meeting is scheduled for June 2027, with the integration planned for
October 2027. The share transfer ratio will be determined based on analysis by third-
party valuation institutions and share prices, following discussions between both
companies. While significant integration synergies are expected, we think post-merger
integration (PMI) is likely to be a management issue.
Integration synergies large
We evaluate this deal as having as strong potential to generate synergies for the
following reasons: (1) Benefits of scale. We think that cost reductions through
production consolidation, joint procurement, and joint development, as well as
improved market presence enabling price increases, can be expected. The impact may
be particularly significant for low-margin general-purpose products. (2) Product
portfolio expansion. NSK has strengths in industrial precision bearings and precision
machinery products for semiconductor manufacturing equipment and machine tools, as
