FMC Corp agreed to sell FMC India Private Limited (its Indian commercial operations) to High Yield

Crystal Crop Production Limited for $252 mm. FMC’s mgmt. expects it will realize close United States

to $425 mm (it’s carrying value at March 31, 2026), from both the sale and the Industrials/Basic

monetization of working capital, as it will continue to receive all cash from operations,

primarily through monetization of working capital, through closing. The business had

2H:24 sales of $140 mm and EBITDA of $40 mm; and 1H:25 sales of $90 mm and no Roger Spitz
