European Facilities Management: Thoughts on a potential Mitie merger

iod here: UK Outsourcing: Risk taming). The UK

sector has seen improved performance in recent years as companies have restructured

and refocused their operations, and this has also been true of Mitie. Organic growth has

improved to >MSD% in recent years (LT average c.+3.5% p.a., market growth

c3%), M&A has re-accelerated again after a period of portfolio pruning in the mid-

2010s, and margins are almost back at c5% for the first time since 2016. Prior to the

takeover offer, shares were +140% over the last 5yrs to reflect this period of improving

execution, albeit down c.-20% over the last 3mths after some more mixed recent

newsflow (e.g. CEO change after c10yrs, UK government report on insourcing).

Signs of accelerating consolidation; prioritising scale for investment needs

So far in 2026 we have seen evidence of accelerating takeouts and mergers across our

subsectors (e.g. Intertek). Some of this activity has appeared to pick up in the context of

recent deratings in some B2B service companies. However, we believe this step-up in

consolidation also reflects company strategies which increasingly prioritise greater scale

and focus - particularly in an era of rising investment needs. We note that Mitie is already

the market leader in UK FM with c16% share, but OCS Group is the current #2 on c6%

- which would therefore potentially create an even more established #1 (current #3

player ISS has c4% share). The press release on the proposed merger notes the potential

to create a stronger UK-domiciled business, increase capacity to invest in tech/

operations, and greater scope to expand internationally as among the key deal

rationale.

Valuation: EU FM trades on c10.5x 1yr fwd EV/EBITA, vs. LT average c12x
