Wheels Up Overview: Wheels Up is one of the four largest private aviation solutions companies

globally, alongside NetJets, Flexjet and VistaJet, with a differentiated model focused on flexibility,

access and customer choice across private, commercial and hybrid travel. The business is roughly

split between programmatic membership on an owned/operated modernized jet fleet and a large

private jet charter brokerage platform, with Delta as the third strategic pillar. The transformation

has centered on simplifying the model, modernizing the fleet, improving operating reliability and

repositioning the brand toward a premium customer experience.

Fleet Transformation Completed Ahead Of Plan. Wheels Up completed the replacement of its four

legacy jet aircraft types—Citation CJ3, Hawker 400, Citation XL/XLS and Citation X—with two fleets,

Phenom 300/300E and Challenger 300/350, >18 months ahead of the original year-end 2027 target.

The new fleet strategy supports a simplified operating model, stronger reliability, better customer

experience and improved economics. The Signature Membership Program is built around these
