Incremental Takeaways from Comcast Announced NBCU Spin

Comcast management hosted a call to discuss the proposed spin-off (Reuters, 29

June) this morning. Management emphasized that each of the two companies will

have requisite scale to operate and invest in their respective strategic initiatives.

Comcast also indicated that it did not view the separation as simply a step to pursue

further strategic actions at either company. Comcast also indicated that quarterly

results did not influence the decision for the planned separation and financial Michael Rollins, CFAAC

spin-off could accelerate an opportunity for CMCSA and CHTR to consider a merger

scenario. We would not dismiss the longer-term possibility that the two companies

could pursue a merger or additional partnerships within the category to improve

their collective competitive position and scale. While Comcast’s announcement may

also accelerate strategic considerations, a formal consideration of transactions that

do not materialize could delay the timing of strategic flexibility for Comcast to

pursue deals (that may result in a change of control) post-spin. We expect both Buy-

rated CMCSA and Buy-rated CHTR shares to trade higher near-term.
