have less problematic horizontal overlap than Emerson, which should support regulatory deliverability. As a result, while

counterbid speculation may provide some near-term support to the shares, we would not build an investment case around a

competing offer. The most likely outcome remains completion of the ABB transaction, unless regulatory, shareholder or market

conditions change materially.
