The consolidation theme is alive and well in the housing space with Berkshire’s

announced acquisition of TMHC the latest example among our coverage. Investor

questions post-deal have naturally centered around the potential for further industry

consolidation. Clearly, our crystal ball is just as opaque as everyone else’s, yet

we expect industry consolidation to remain a theme, particularly with Japanese

parent companies looking to gain exposure to the US housing market. In this

report, we review prior public homebuilder M&A and takeout multiples, potential

acquisition targets and multiples, change in control provisions at SMID-Cap public

builders, SMID-Cap YTD equity performance, and update investors on Japanese

and Berkshire’s U.S. homebuilder portfolios.

SMID-Cap Builders are outperforming YTD, clearly aided by two of six SMID-

Cap names we cover being acquired for 29% (TPH) and 24% (TMHC) premiums,

respectively.
